Welcome to PivotPM.AI. These Terms of Service ("Terms") govern your access to and use of the website, application programming interfaces (APIs), software, tools, models, and related services (collectively, the "Services") provided by PivotPM.AI ("PivotPM.AI," "we," "us," or "our").
By creating an account, clicking "I Accept," or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
PLEASE READ THESE TERMS CAREFULLY before accessing or using the Services.
1. Definitions
• "Input" means any data, text, prompts, or other content that you submit, or transmit to the Services.
• "Output" means any content generated and returned to you by the Services based on your Input.
• "User Content" means, collectively, your Input and Output.
2. Eligibility and Accounts
2.1 Age Requirement
You must be at least 13 years old to use the Services. If you are under 18 years old (or the age of majority in your jurisdiction), you must have the consent of your parent or legal guardian.
2.2 Registration and Security
You must provide accurate and complete information to register for an account. You are responsible for the security of your login credentials and for all activities that occur under your account. You may not share your individual account credentials.
2.3 Organization Use
If you are using the Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Subscriptions, Payments, and Credits
3.1 Plans and Pricing
We offer different tiers of service including basic and premium plans. Features, usage limits, and prices are subject to change.
3.2 Fees and Billing
You agree to pay all fees or charges to your account in accordance with the billing terms in effect at the time a fee or charge is due.
3.3 Credits, Usage, and Limits
Certain features may use credits or be subject to technical and fair use limits to preserve service stability. Limits may vary by plan and may be adjusted.
3.4 Cancellations and Refunds
You have 30 days from the date of purchase to request and be eligible to receive a refund. We reserve the right to deny any refund request made after the 30-day period.
3.5 Platform Exploitation
You are prohibited from creating multiple accounts to exploit plans, manipulate fair use policy limits, or evade enforcement of these Terms.
4. Intellectual Property and Ownership
4.1 Ownership of Services
PivotPM.AI and its licensors own all rights, title, and interest in and to the Services, including underlying technology, software, and pre-existing AI models. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms.
4.2 Ownership of Your Input
As between you and PivotPM.AI, you retain ownership of the Input you provide. You represent and warrant that you have all necessary rights, licenses, and permissions to provide Inputs and that your Inputs do not violate these Terms or the rights of any third party.
4.3 License Grant to PivotPM.AI
You grant PivotPM.AI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Content solely as necessary to: (i) provide and maintain the Services, (ii) enforce these Terms, and (iii) comply with applicable law.
We will not use your User Content to train or improve our general AI models unless you explicitly opt in.
5. Prohibited Use Policy
You agree not to use the Services, directly or indirectly, for any purpose that is illegal, harmful, or violates these Terms.
5.1 Prohibited Industries
You are expressly prohibited from using the Services for:
• Political campaigning, political advocacy, or lobbying organizations
• Adult entertainment, pornography, or sexually explicit content
• Manufacturing or distribution of firearms, weapons, or ammunition
• Tobacco, e-cigarettes, or related paraphernalia
• Deceptive or fraudulent schemes
5.2 Harmful, Illegal, and Abusive Content
You must not use the Services to generate, distribute, or facilitate:
• Child Safety Violations: CSAM, exploitation, grooming, or cyberbullying of minors (we actively report CSAM to authorities)
• Hate and Violence: Defamatory or obscene content, or content promoting violence, terrorism, extremism, discrimination, harassment, or hate speech
• Self-Harm: Promotion or facilitation of suicide, eating disorders, or other forms of self-harm
• Illegal Transactions: Illegal goods or services, including illegal drugs, unauthorized weapons, human trafficking, or sexual services
• Misinformation: Harmful misinformation, including medical disinformation
5.3 Infringement, Impersonation, and Fraud
You must not use the Services to:
• Violate intellectual property, privacy, or publicity rights of others
• Use generated content to harass, defraud, deceive, or cause harm to others
• Engage in financial scams or attempts to steal sensitive information
• Impersonate political candidates or elected government officials
• Engage in voter suppression or disrupt electoral processes
5.4 Technical and Platform Abuse
You must not:
• Decompile, disassemble, or reverse engineer the Services or attempt to discover source code
• Bypass security or verification systems or usage limits
• Use data mining, robots, or extraction methods to scrape data
• Sell, resell, rent, lease, or sublicense the Services without authorization
• Disrupt, damage, or impair the functioning of the Services
• Use the Services or Output to develop competing products, models, or services
• Use the Services or Output as training data for other AI or machine learning systems
6. Compliance, High-Risk Use, and AI Disclosure
6.1 High-Risk Activities
You must not rely solely on AI-generated Output from the Services as a substitute for qualified professional advice in legal, financial, career, or organizational matters. PivotPM.AI does not provide professional consulting services and all Output should be reviewed critically before application.
6.2 AI Disclosure Requirement
If you use the Services to power AI agents or interactions where a user might reasonably believe they are interacting with a human, you must clearly and prominently disclose that they are interacting with AI.
6.3 Applicable AI Laws
You are responsible for ensuring your use of the Services complies with applicable AI legislation, including the EU AI Act where applicable.
7. Disclaimers and Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. OUTPUTS MAY NOT BE ACCURATE, CURRENT, OR RELIABLE. YOU USE THE SERVICES AND ANY OUTPUT AT YOUR OWN RISK.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIVOTPM.AI AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100.00) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
9. Indemnification
You agree to defend, indemnify, and hold harmless PivotPM.AI and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or connected with: (i) your access to or use of the Services, (ii) your User Content, (iii) your violation of these Terms, or (iv) your violation of any third-party right, including intellectual property or privacy rights.
10. Term and Termination
10.1 Term
These Terms remain in effect until terminated.
10.2 Termination
You may terminate these Terms by closing your account. We may suspend or terminate your access to the Services at any time, for any reason, at our sole discretion, including if we believe you have violated these Terms, if required by law, or to prevent harm.
11. General Provisions
11.1 Governing Law
These Terms shall be governed by the laws of Ontario, Canada, without regard to conflict of law principles.
11.2 Changes to Terms
We may update these Terms from time to time. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
11.3 Copyright Policy
We respect the intellectual property rights of others. If you believe your work has been infringed, contact our team at: contact@pivotpm.ai. We have a policy of terminating the accounts of repeat infringers.
11.4 Entire Agreement
These Terms constitute the entire agreement between you and us regarding the Services and supersede any prior agreements related to the Services.
11.5 Severability and Waiver
If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
11.6 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
